1. General disclosure KD Property, LLC (“KD Property”) operates an online investment platform located at kodaft.com and through various mobile applications (the “Platform”). The information contained on the Platform neither constitutes an offer for nor a solicitation of interest in any securities offering; however, if an indication of interest is provided, it may be withdrawn or revoked, without obligation or commitment of any kind prior to being accepted following the qualification or effectiveness of the applicable offering document, and any offer, solicitation or sale of any securities will be made only by means of an offering circular, private placement memorandum, or prospectus. No money or other consideration is hereby being solicited, and will not be accepted without such potential investor having been provided the applicable offering document. Joining the Platform neither constitutes an indication of interest in any offering nor involves any obligation or commitment of any kind.

KD Property Advisors, LLC (“KD Property Advisors”), an affiliate of KD Property, is registered with the U.S. Securities and Exchange Commission (“SEC”) as an investment adviser under the Investment Advisers Act of 1940. Financial advisory services are only provided to investors who become KD Property Advisors Clients (“Clients”) pursuant to a written Client Agreement, which investors are urged to read, along with Part 2 of KD Property Advisors’ Form ADV, and carefully consider in determining whether such agreement is suitable for their individual facts and circumstances. 2. Historical and projected performance disclosure Performance information is presented net of all management and advisory fees and expenses unless marked otherwise. Commissions are not considered since investors on the Platform are not charged trading commissions or any other transaction-based fees. For all periods the performance information includes the reinvestment of dividends and interest unless otherwise noted.

KD Property performance figures consist of the aggregate returns of all Client accounts during any periods indicated, calculated using the Modified Dietz method, inclusive of dividends and capital gains / losses, are net of fees, and include shares which were acquired via dividend reinvestment. KD Property Client returns do not include investments directly in Rise Companies Corp. itself, the KD Property Opportunity Fund, KD Property Innovation Fund, or KD Property Opportunistic Credit Fund.

All relevant information about the assets held by each fund may be found in their respective offering circulars or prospectuses, all of which are available at kodaft.com/oc.

Each investment plan is made up solely of certain funds (each such fund, a “Designated Issuer”) that the Client has agreed to have included in such Client’s chosen investment plan. Each investment plan and their corresponding Designated Issuers are publicly available at kodaft.com/oc.

The funds managed by KD Property Advisors generally pay quarterly distributions that may consist of ordinary dividends, capital gains, and/or nondividend distributions. However, the tax characteristics of these distributions (i.e., dividend income, nondividend distributions, and capital gains) cannot be determined until after the end of the year. Since KD Property Advisors cannot know the taxability of each fund's distributions during the year, unadjusted effective yields are calculated and presented. For certain funds (i.e., those registered under the Investment Company Act of 1940), such tax characteristics of these distributions are estimated on a quarterly basis and disclosed to shareholders at that time. After the end of each year, each entity required to report changes in tax basis shall publicly post a Form 8937 disclosing the nondividend distribution portion of such distributions, available at kodaft.com/oc.

The return, composite and performance information shown on the Platform uses or includes information compiled from third-party sources, including independent market quotations and index information. While we believe the third-party information comes from reliable sources, we do not guarantee the accuracy of the Platform information and may receive incorrect information from third-party providers. 3. KD Property Advisors fee and account disclosures General, non-personalized recommendations, services and fees by KD Property Advisors may vary for each Client. Advisory fees, if any, are calculated based upon the amount of assets being managed (as detailed further in KD Property Advisors Form ADV Part 2 and KD Property Advisors Form CRS ).

Fee waivers only apply to fees charged by KD Property Advisors for investment advisory services and do not include any fees or expenses charged by KD Property Advisors or its affiliates to the individual funds available on the Platform.

Not all invitations sent through the KD Property Invitation Program will be considered valid. KD Property Advisors reserves the right, in its sole discretion, to determine that any promotion offered through the KD Property Invitation Program (including more favorable fee arrangements, reduced or waived advisory fees, and/or vouchers that can be redeemed for shares of certain KD Property-sponsored funds) is not warranted, and/or to change the terms of such promotion with or without notice. Any such promotions are not valid with any other offers and are non-transferrable. Offer available to U.S. residents only. The total value of any promotion(s) offered through the KD Property Invitation Program shall not exceed $1,000 in any given 12-month period per individual investor.
